Lutech Group announces the signing of an agreement to acquire the Cloud and Cybersecurity arm of Making Science, a Spanish company listed on BME Growth and specializing in technology consulting and digital marketing.

This transaction represents a key step in Lutech's international expansion strategy, significantly strengthening its presence in Spain and consolidating the Group's positioning in cloud services and security.

A strategic expansion into the Spanish market

The acquisition involves the transfer of Making Science's Spanish legal entities active in cloud, enterprise software development and cybersecurity services. The transaction is expected to close in the fourth quarter of 2025, subject to the approval of foreign direct investment in Spain and the fulfillment of customary conditions precedent.

With this transaction, Lutech integrates a highly qualified team with a solid customer base, adding to the existing entities in Spain such as Lutech Sapimsa and Cimworks, further strengthening the Group's ability to serve the European market.

"This acquisition is a key piece in our international growth strategy. We are excited to welcome to Lutech a highly talented and competent team, which will enable us to further strengthen our leadership in digital transformation services in Spain and Europe. The investment confirms our commitment to building an increasingly comprehensive and innovative offering for our clients," said Giuseppe Di Franco, CEO of Lutech Group.

Operational continuity and future synergies

The integration will be managed by ensuring full business continuity for all current clients and enhancing the skills of the acquired team. In addition, Lutech and Making Science have formalized a strategic partnership.

"We are pleased to have found in Lutech an ideal partner: a first-rate group that guarantees the best possible future for the team and continuity of service for clients. This agreement allows us to focus our resources on global digital marketing and artificial intelligence activities, areas in which we can build sustainable leadership positions, while initiating a new strategic relationship with Lutech" said José Antonio Martínez, CEO and Founder of Making Science.
